Not a pyramid scheme on public evidence
Registered physical products, filed sales, patents and an ordinary producer–distributor–customer chain exist. No paid membership, downline or recruitment-funded returns were found.
SupportedGermany distribution assessment · 30 August 2026
Atlas appears to be a genuine Bulgarian agritech micro-enterprise, not a recruitment scheme. A German distribution business could still fail on authority, regulation, transfer price or demand. Those four questions must be closed separately.
The company, the private offer and the German commercial case are different diligence objects.
Company
Registered physical products, filed sales, patents and an ordinary producer–distributor–customer chain exist. No paid membership, downline or recruitment-funded returns were found.
SupportedRights
No public appointment for Germany or Holland was located. That does not exclude a private contract, reservation or letter of intent.
Written authority requiredProduct
Current Terra products are low-dose molasses/leonardite formulations. They do not compete with sludge, manure or mineral fertiliser as bulk nutrient mass.
Category correctedEconomics
Under the base model, direct gross margin is about 11–16% and dealer-channel sales lose money before salaries, trials, bad debt or liability costs.
Renegotiation requiredEarlier analysis treated the present range as processed sewage-sludge fertiliser. The signed product orders do not support that description.
Historic chapter
Bulgarian patent BG 67650 and utility model BG 4083 describe conversion of wastewater-treatment sludge into a liquid multicomponent plant biostimulant. The old company narrative and the 2025 rose study concern this generation.
Patent recordCurrent agricultural line
The current signed orders list molasses and leonardite; Amino additionally lists free amino acids. They do not list sewage sludge. No public manufacturing disclosure establishes continuity with the patent.
Regulator orders| Product | Current official composition signals | Authorised dose used here |
|---|---|---|
| Atlas Terra | 42% molasses, 3.3% leonardite; 2.58% N, 0.05% P, 6.11% K; pH 5.5 | Foliar 1–3 L/ha; soil 1–5 L/ha; fertigation 1–3 L/ha |
| Atlas Terra Nitro | 84.8% organic matter from molasses/leonardite; 11.6% total N; 16.4% humic acids; 6.55% water-soluble sulfur | Foliar 2–4 L/ha; soil 2–5 L/ha |
| Atlas Terra Amino | 88.2% organic matter from molasses/leonardite/free amino acids; 13.5% total N; 34.76% total free amino acids; 17.69% humic acids | Foliar 1.5–5 L/ha; seed 25–50 ml/100 kg |
Commercial implication: do not market the current line in Germany as “fertiliser made from sewage sludge” unless Atlas supplies a current, product-specific manufacturing and legal dossier that proves that statement.
Primary product records: Terra order, Terra dose amendment, Nitro order and Amino order.
Atlas says it transferred exclusive sales and distribution rights for its agricultural range to ATC Agro Finance. ATC describes itself as the exclusive national distributor, but the private agreement is not public.
A legitimate manufacturer can still offer an unauthorised or commercially destructive deal. A large non-refundable fee for a country on a map is not evidence of value. Prefer €0 upfront, with exclusivity earned through measurable product sales.
Bulgarian registration is material evidence. It is not, by itself, a completed German launch dossier.
Possible route 1
Fit the product to a permitted category/type and satisfy ingredient, contaminant, hygiene, labelling and placing-on-market requirements.
Possible route 2
Correct PFC and CMC, conformity assessment, technical file, EU Declaration of Conformity, CE marking and Annex III information under Regulation (EU) 2019/1009.
Possible route 3
Evidence of lawful Bulgarian marketing, a declaration/supporting file, German-language information and ability to demonstrate safety under Regulation (EU) 2019/515.
Official starting points: LfL fertiliser trade-control guidance, Regulation (EU) 2019/1009, EU mutual-recognition guidance and RP Kassel fertiliser law.
The German farmer compares the treatment against all other uses of the same euro. The product still belongs in the biostimulant category.
| Category | Indicative farmer-facing economics | What it supplies | Relation to Atlas |
|---|---|---|---|
| Municipal sewage sludge | Can be €0 to an eligible farm, sometimes bundled with sampling, transport and spreading | Nutrients and organic matter in tonnes | Indirect budget competitor; not a low-dose foliar biostimulant |
| Manure and digestate | Highly local; transport and nutrient surplus/deficit often determine value | Bulk nutrients and organic material | Indirect competitor to soil-building claims |
| Compost | Often low single-digit euros per tonne ex works before transport/application | Humus and soil structure over time | Partial competitor; fundamentally different dose and logistics |
| Mineral nitrogen | KAS €370–€410/t; stabilised urea €550–€630/t in week 35/2026 | Predictable concentrated nutrient mass | Decisive benchmark whenever direct N replacement is implied |
| Commercial biostimulants | Observed public treatment costs roughly €15–€45/ha | Stress, roots, nutrient-use efficiency and yield stability claims | Direct market |
The zero-price sludge offer is normally better understood as waste-disposal economics than a simple subsidy paid to the farmer. Direct sludge use is also crop- and site-restricted and will tighten for larger wastewater plants from 2029 and 2032.
| Product | Positioning | Public net price | Rate used | Product cost/application |
|---|---|---|---|---|
| Aminosol-PS | Plant-derived amino acids and peptides | €7.66/L | 2–3 L/ha | €15.32–€22.98/ha |
| BlackJak | Humic, fulvic and ulmic acids | €11.40/L | 3 L/ha | €34.20/ha |
| Basfoliar Kelp SL | Seaweed root/stress product | ≈€11.18/L | 2–4 L/ha scenario | ≈€22.36–€44.72/ha |
| Quantis | Fermentation-derived stress biostimulant | €12.90/L | 3 L/ha | €38.70/ha |
Public online list prices are transparent anchors, not guaranteed professional purchase prices. Formulations, legal categories and evidence bases differ.
The following German net list prices are scenarios, not supplier quotations: Terra €11/L, Nitro €13/L and Amino €14/L.
| Product | Authorised foliar rate | Modelled cost/application | Commercial reading |
|---|---|---|---|
| Terra | 1–3 L/ha | €11–€33/ha | Strongest first SKU; directly comparable with humic products. |
| Nitro | 2–4 L/ha | €26–€52/ha | Price is plausible, but the nitrogen-use-efficiency or stress benefit must be demonstrated. |
| Amino | 1.5–5 L/ha | €21–€70/ha | Competitive around 1.5–3 L/ha; difficult at the high end in ordinary cereals. |
A broad-acre pilot should target roughly €20–€35/ha and be mixed into an existing spray pass. Higher-value crops, vineyards, potatoes, horticulture and drought-prone/light soils can support a higher hurdle when quality or yield protection is measurable.
No current public density was located. Using 1.0–1.2 kg/L and a 5 L/ha upper-rate scenario—the authorised soil maximum for Terra/Nitro and foliar maximum for Amino—gives:
| Product | Total N | N delivered | Approx. direct mineral-N value |
|---|---|---|---|
| Terra | 2.58% | 0.13–0.15 kg N/ha | €0.15–€0.24/ha |
| Nitro | 11.6% | 0.58–0.70 kg N/ha | €0.70–€1.06/ha |
| Amino | 13.5% | 0.68–0.81 kg N/ha | €0.81–€1.23/ha |
Nitro is not conventional nitrogen replacement by mass. Nearly the entire economic value must come from nutrient-use efficiency, stress tolerance, yield stability, quality or demonstrable reduction of other inputs.
| Treatment cost | Extra bread wheat at €205/t | Extra rapeseed at €493.10/t |
|---|---|---|
| €20/ha | ≈98 kg/ha | ≈41 kg/ha |
| €30/ha | ≈146 kg/ha | ≈61 kg/ha |
| €40/ha | ≈195 kg/ha | ≈81 kg/ha |
| €60/ha | ≈293 kg/ha | ≈122 kg/ha |
At 7 t/ha wheat, a €40 treatment needs roughly 2.8% additional saleable yield before extra application and harvesting costs. At 3.5 t/ha rapeseed, the hurdle is about 2.3%.
Base scenario: €0.75/L incremental landed cost, dealer keeps 25% of German list, and no territory fee.
| Product | Public 1,000+ L source | Base landed | German list scenario | Direct gross margin | Contribution after dealer share |
|---|---|---|---|---|---|
| Terra | €8.69 | €9.44 | €11.00 | 14.2% | −€1.19/L |
| Nitro | €10.23 | €10.98 | €13.00 | 15.5% | −€1.23/L |
| Amino | €11.76 | €12.51 | €14.00 | 10.6% | −€2.01/L |
These margins precede salaries, travel, samples, German trials, agronomic support, bad debt, accounting, product liability, damaged stock and returns.
| Product | 40% direct-GM ceiling | 25% distributor GM after dealer share | Preferred negotiation target |
|---|---|---|---|
| Terra | €5.85/L | €5.44/L | ≤€5.30/L |
| Nitro | €7.05/L | €6.56/L | ≤€6.40/L |
| Amino | €7.65/L | €7.13/L | ≤€6.90/L |
At the preferred targets, the model gives approximately 45% direct gross margin and 27% distributor margin on post-dealer revenue. These remain planning outputs, not forecasts.

The correct first model is an agency/supplier-direct pilot or very small stockholding operation—not a national warehouse commitment.
| Model | Inventory and invoicing | Rough cumulative cash envelope |
|---|---|---|
| Regulatory and contract go/no-go | No commercial stock | €5k–€15k |
| Agency or supplier-direct pilot | Supplier invoices/ships or sample stock only | €10k–€30k |
| Regional stock launch | Small German 3PL stock; direct B2B invoicing | €25k–€60k |
| Credible Germany-exclusive launch | Inventory, trials, agronomy and credit reserve | €60k–€150k |
| National operation | Dealer stock, staff and seasonal working capital | €150k–€300k+ |
Planning envelopes, not quotations. Working capital may dominate because the supplier may request prepayment while German farms and dealers request 30-, 60- or seasonal terms.
Pilot vehicle
Suitable for bounded diligence and pilot operations. Do not form it with €1 merely because that is legally possible; approximately €5k–€10k is a more credible planning level where the company will insure, contract and hold stock.
National distributor
€25,000 nominal capital, with at least €12,500 generally paid before registration in an ordinary cash formation. Better signalling for insurance, supplier credit, dealer contracts and employees.
Use a tailored shareholder agreement covering ownership, cash, expected work, management authority, salaries, expense limits, reserved decisions, deadlock, good/bad leavers, share transfers, customer/data ownership, personal guarantees and exit. Do not choose 50/50 by reflex.
Once authority and legality are closed, the logistics are conventional EU B2B road freight.
The German company specifies SKU, quantity, label version, required batch documents, minimum remaining shelf life, Incoterm and delivery point.
The supplier provides invoice, packing list, current label, certificate of analysis and SDS/transport classification where applicable.
Pallets travel under CMR. For the pilot, DAP to a named German 3PL or customer reduces Bulgarian collection complexity; later compare FCA.
Inspect damage, record batch and expiry, quarantine discrepancies and preserve stock conditions.
Every dispatch must map customer to batch for complaints, corrective action and recall.
Bulgaria-to-Germany purchases between VAT-registered traders are intra-Community transactions, not ordinary third-country imports. German VAT and LUCID/packaging responsibilities must be configured before the first sale.
Scale follows proof. It does not precede it.
Late 2026
Close authority, territory status, regulatory route, export prices, liability, freight and initial customer interviews. Spend only a bounded diligence budget.
Early 2027
Create the German entity and founder agreement, sign a conditional contract, finalise German documentation, insurance, packaging duties and traceability.
2027 growing season
One region, one or two crop segments, paid controlled trials, small stock or supplier-direct fulfilment, and measurement of contribution, cash cycle, complaints and reorders.
2028
Add only the crops and regions with repeat demand. Introduce agronomic representatives or selected dealers and renegotiate volume pricing and service levels.
2029+
Broaden dealer coverage and inventory only after the business supports staff, seasonal credit and product support.
Second country
Exercise the option only when Germany can fund duplicated language, regulation, tax, logistics and sales overhead.
Every German trial should include untreated control strips and record field, soil, weather, normal inputs, application timing, tank partners, total application cost, yield, quality, complaints and reorder intent. A testimonial without a control is marketing, not evidence.
Failure at any one is a no-go for a national commitment.
1
Written chain of rights and conflict-free German territory.
2
Documented German route, label, claims and responsible economic operator for every SKU.
3
Transfer price or agency commission that survives landed cost, channel margin and working capital.
4
Paid German customers obtain a measurable outcome and reorder.
Current stance: investigate and negotiate; do not pay a material territory fee, buy national-scale stock or leave existing employment before all four gates close.
